We provide hardware engineering services, embedded firmware development, and peripheral input devices. Product specifications, capabilities, and availability are subject to change without notice.

- Interfere with security features of any system
4. Intellectual Property

5. Client Work Product
For custom engineering engagements, intellectual property ownership is governed by the applicable project agreement. Unless otherwise specified in writing, custom work product is owned by the client upon final payment.

THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF CONTENT
- COMPATIBILITY WITH THIRD-PARTY SYSTEMS OR TERMS OF SERVICE
WE DO NOT WARRANT THAT OUR PRODUCTS WILL MEET YOUR SPECIFIC REQUIREMENTS OR ACHIEVE ANY PARTICULAR OUTCOME.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Third-party account actions, suspensions, or bans
- Costs of substitute products or services
ARISING OUT OF OR RELATED TO YOUR USE OF OUR SITE, PRODUCTS, OR SERVICES, REGARDLESS OF THEORY OF LIABILITY.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

- Your violation of these Terms
- Your violation of any third-party rights or terms of service
- Your violation of any applicable law or regulation
- Any dispute between you and a third party related to our products
9. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in such courts.
10. Dispute Resolution
10.1 Informal Resolution
Before filing any claim, you agree to contact us at legal@usinput.com and attempt to resolve the dispute informally for at least thirty (30) days.
10.2 Arbitration
Any dispute not resolved informally shall be settled by binding arbitration under the rules of the American Arbitration Association. Arbitration shall occur in Wyoming.
10.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to bring or participate in a class action, collective action, or representative proceeding.
11. Export Compliance
Our products may be subject to U.S. export control laws. You agree not to export or re-export products to any prohibited country, entity, or individual under U.S. law.
12. Modifications
We may modify these Terms at any time. Changes are effective upon posting. Continued use of the Site or products constitutes acceptance of modified Terms.
13. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.
14. Entire Agreement
These Terms, together with our Privacy Policy and any applicable project agreements, constitute the entire agreement between you and the Company.
